1. Eligibility & Member Accounts

You must be at least eighteen (18) years of age, or have the consent of a parent or legal guardian where permitted by law, to create an account, purchase a membership, or use our Services.

You agree to provide accurate, complete, and current account information and to promptly update any changes.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

Sorelle Studio reserves the right to suspend or terminate accounts, memberships, or access to our Services if these Terms or any incorporated policies are violated.

2. Memberships & Payments

All memberships, services, retail purchases, workshops, events, and other transactions are subject to the pricing in effect at the time of purchase.

By purchasing a membership or booking a Service, you authorize Sorelle Studio to charge your payment method on file for applicable membership dues, service fees, retail purchases, cancellation fees, no-show fees, taxes, and any other authorized charges.

Membership billing, renewals, freezes, cancellations, refunds, and related policies are governed by the Membership Agreement and Studio Policies & Guidelines.

Sorelle Studio reserves the right to modify pricing, memberships, class schedules, instructors, operating hours, and Services at any time. Where required, reasonable notice will be provided before changes become effective.

3. Health & Safety

Your health and safety are important to us. You are responsible for informing Sorelle Studio of any injuries, pregnancy, illness, recent surgery, medical conditions, allergies, medications, or other health changes that may affect your participation in our Services.

Sorelle Studio reserves the right to modify, postpone, or refuse any class, service, or treatment when participation is determined to be unsafe or medically contraindicated.

Our Pilates instructors, massage therapists, and wellness practitioners provide services only within the scope of their education, licensure, certifications, and professional training. Our Services are intended to support fitness, movement, recovery, relaxation, and general wellness and are not intended to provide medical advice, diagnosis, or treatment.

Participation in certain Services requires the completion of additional waivers, consents, or health intake forms, which are incorporated into these Terms by reference.

6. Electronic Communications & Electronic Signatures

By creating an account, making a purchase, signing a document electronically, or using our Services, you consent to receive communications from Sorelle Studio electronically, including by email, text message, mobile application, or through our website.

You agree that electronic records, acknowledgments, and signatures have the same legal effect as original written documents and handwritten signatures.

7. Intellectual Property

All trademarks, logos, branding, photographs, videos, graphics, website content, educational materials, class programming, and other proprietary content are the exclusive property of Sorelle Studio LLC or its licensors and are protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, publish, sell, or otherwise use any Sorelle Studio content without our prior written consent.

8. Acceptable Use

You agree to use our Services lawfully, respectfully, and in accordance with these Terms and our Studio Policies & Guidelines.

You may not:

• Misuse or interfere with our website, booking platform, or Services.

• Share, transfer, or misuse memberships or accounts except as expressly permitted.

• Provide false or misleading account information.

• Engage in abusive, threatening, discriminatory, fraudulent, or disruptive conduct.

• Damage or misuse studio property.

• Photograph, record, or distribute images of others without their consent where prohibited by our Studio Policies.

Sorelle Studio reserves the right to refuse service, suspend or terminate memberships or accounts, cancel reservations, or deny access to any individual who violates these Terms or our Studio Policies & Guidelines.

9. Third-Party Services

Sorelle Studio may use third-party service providers to facilitate online booking, payment processing, communications, scheduling, or other business operations.

Your use of these services may also be subject to the terms and privacy policies of those providers. Sorelle Studio is not responsible for the availability, security, content, or practices of third-party service providers.

10. Billing Disputes

If you believe a billing error has occurred, please contact Sorelle Studio at hello@sorellestudio.co as soon as possible so we may review and attempt to resolve the matter.

Initiating a chargeback or payment dispute does not relieve you of your obligation to pay valid charges. Sorelle Studio reserves the right to suspend or terminate memberships, restrict future bookings, recover outstanding balances, and seek reimbursement for any fees or costs incurred in connection with an invalid or unsuccessful chargeback, to the extent permitted by law.

11. Dispute Resolution

A. Informal Resolution

If you have a question, concern, or dispute regarding your membership or use of our Services, you agree to first contact Sorelle Studio at hello@sorellestudio.co and provide a written description of the issue. Both parties agree to make a good-faith effort to resolve the matter informally before initiating arbitration or legal proceedings.

B. Binding Arbitration

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, your membership, or your use of our Services shall be resolved exclusively through final and binding arbitration, rather than in court, in accordance with the Federal Arbitration Act. Arbitration shall be conducted in Travis County, Texas, unless the parties agree otherwise.

BY AGREEING TO THESE TERMS, YOU UNDERSTAND THAT YOU ARE WAIVING THE RIGHT TO HAVE DISPUTES DECIDED BY A JUDGE OR JURY, EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS.

C. Class Action Waiver

To the fullest extent permitted by law, all claims shall be brought solely in an individual capacity. You waive any right to participate in any class action, collective action, consolidated action, or representative proceeding against Sorelle Studio.

D. Exceptions

Nothing in this section prevents either party from bringing an individual claim in a court of competent jurisdiction for matters eligible for small claims court or seeking temporary injunctive or equitable relief where permitted by law.

12. Disclaimer of Warranties

Except as required by applicable law, all Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

Sorelle Studio does not warrant that its website, mobile application, booking platform, or Services will be uninterrupted, secure, error-free, or continuously available.

13. Limitation of Liability

To the fullest extent permitted by law, Sorelle Studio LLC, its owners, employees, instructors, therapists, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of our Services.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Sorelle Studio LLC, its owners, employees, instructors, therapists, contractors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorneys' fees, arising from your violation of these Terms, misuse of our Services, or violation of applicable law.

15. Force Majeure

Sorelle Studio shall not be liable for any delay, interruption, or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, severe weather, public health emergencies, governmental actions, labor disputes, utility failures, internet outages, equipment failures, or other unforeseen circumstances.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Subject to the arbitration provisions above, any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the jurisdiction of those courts.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Membership Agreement, Studio Policies & Guidelines, Privacy Policy, Liability Waiver & Assumption of Risk, Wellness Treatment Consent & Guidelines, Infrared Sauna Liability Waiver, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Sorelle Studio regarding your use of our Services.

19. Changes to These Terms

Sorelle Studio reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised Effective Date. Your continued use of our Services after any changes become effective constitutes your acceptance of the revised Terms.
